Publisher New Media Investment Group announces public offering of 7.5M shares of common stock
Shares of NMIG are down over 7 percent on the news, as the publisher of newspapers under the GateHouse Media name looks to raise capital for future acquisitions
There are only so many ways to have enough money to continue a roll-up strategy: make enough profits to self-finance; take on more debt (often more than you can handle); or raise funds through the stock market.
New Media Investment Group, which like Gannett has been in acquisition mode, will be making a public offering of 7,500,000 shares of common stock which it will likely use to make more acquisitions. Some of the money will also likely be used to make sure it can continue to service its long term debt.
As often happens, the news that more common stock is being issued has caused the company’s stock price to fall. Currently, NEWM shares are down over 7.5 percent on the news.
New Media is the parent company of the newspaper chain GateHouse Media – with the two names sometimes used interchangeably. GateHouse Media’s newspapers include The Providence Journal and The Columbus Dispatch, both recently acquired by the company.

NEW YORK, NY – November 18, 2016 — New Media Investment Group Inc. announced today that it launched a public offering of 7,500,000 shares of its common stock. The underwriter may offer the shares from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices. In connection with the offering, New Media has granted the underwriter an option for 30 days to purchase up to an additional 1,125,000 shares of New Media’s common stock.
Morgan Stanley is the sole underwriter for the offering.
